These Terms of Service ("Terms") govern your use of the BlissfulScribe application ("App") and the website at scribe.blissfulplan.com ("Website"), both operated by Blissfulplan Publishing Ltd. ("we", "us", or "our"). By downloading, installing, or using the App, or by accessing the Website, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "App" means the BlissfulScribe macOS application and all related software, updates, and documentation.
- "Service" means the App and the Website collectively.
- "Licence" means the right to use the App granted to you upon purchase.
- "You" means the individual or entity who agrees to these Terms.
2. Licence Grant
Subject to your compliance with these Terms and payment of the applicable one-time licence fee, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to install and use the App on the number of Mac computers specified by your purchased plan (one device for Starter, three devices for Pro).
This licence is for your personal or professional use only. It does not include the right to redistribute, sublicense, or make the App available to any third party. The licence is tied to you as the purchaser; it may not be sold, transferred, or assigned to another person or entity without our prior written consent.
The licence includes access to all updates released for the major version of the App you purchased. We endeavour to provide updates at no additional charge, though we reserve the right to charge for major new versions at our discretion.
3. Permitted Use
You may:
- Install and use the App on the permitted number of devices.
- Use the App for personal and professional purposes including, without limitation, writing, transcription, dictation, documentation, and productivity tasks.
- Make a reasonable number of backup copies of the App solely for archival purposes.
- Export your transcription history and data from the App for your own use.
4. Restrictions
You may not:
- Copy, distribute, sell, sublicense, or otherwise transfer the App or any rights in it to any third party.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the App, except to the extent permitted by applicable law that cannot be excluded by contract.
- Modify, adapt, translate, or create derivative works based on the App.
- Remove or alter any proprietary notices, labels, or marks on the App.
- Use the App in any manner that violates applicable laws or regulations.
- Use the App to process audio content that you do not have the legal right to process.
- Attempt to circumvent, disable, or otherwise interfere with any licence verification or security features of the App.
5. Intellectual Property
The App, including all software code, design, graphics, text, and other content, is owned by Blissfulplan Publishing Ltd. or its licensors and is protected by intellectual property laws including copyright law. These Terms do not convey any ownership rights to you. All rights not expressly granted are reserved.
The Whisper AI model incorporated in the App is made available under the MIT Licence by OpenAI. Other third-party components may be included under their respective open-source licences, details of which are available within the App.
6. Payment and Pricing
BlissfulScribe is offered as a one-time purchase. There are no monthly or annual subscription fees. The price you pay at the time of purchase is the total amount owed for your licence. We reserve the right to change prices for new purchases at any time; price changes do not affect existing licence holders.
Payment is processed by our third-party payment processor. You agree to provide accurate and complete payment information. By submitting payment, you authorise us (via our payment processor) to charge the applicable fee to your chosen payment method.
All prices are displayed in US Dollars unless otherwise stated. You are responsible for any taxes, duties, or levies applicable in your jurisdiction.
7. Refund Policy
We offer a 30-day money-back guarantee. If you are unsatisfied with BlissfulScribe for any reason within 30 days of your original purchase date, contact us at contact@blissfulplan.com and we will issue a full refund to your original payment method. No explanation is required.
After the 30-day period, all sales are final and no refunds will be issued except where required by applicable consumer protection law. Refunds are not available for purchases made through the Mac App Store, which uses Apple's own refund policies.
8. Free Trial
We may offer a free trial version of the App with limited functionality. The free trial is intended to allow you to evaluate the App before purchasing. Use of the free trial is subject to these Terms. We reserve the right to modify or discontinue the free trial at any time without notice.
9. No Warranty
The App is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free from harmful components.
We do not warrant the accuracy, completeness, or reliability of transcriptions produced by the App. Transcription output may contain errors and should not be relied upon in contexts where accuracy is legally or professionally critical without independent verification.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Blissfulplan Publishing Ltd. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the amount you paid for your licence in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded or limited by law.
11. Indemnification
You agree to indemnify and hold harmless Blissfulplan Publishing Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Your licence is effective until terminated. Your rights under these Terms will terminate automatically without notice if you fail to comply with any provision of these Terms. Upon termination, you must immediately cease all use of the App and destroy all copies in your possession.
We may also suspend or terminate your access to any online aspects of the Service (such as licence verification) at our discretion, with reasonable notice where possible.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to any conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that if you are a consumer in another jurisdiction, you may also have the right to bring proceedings in the courts of your place of residence.
14. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will endeavour to provide notice via the Website or by email to the address associated with your purchase. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
15. Miscellaneous
Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: We may assign our rights and obligations under these Terms at any time, including in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our prior written consent.
